Minutes of the Meeting between SVJ Korunni (“Condominium”) and PRAHA-SEN 28.5.2008

Program:
A) Warranty Claim as of December 14th 2007 (“List I”)
1) Condominium expressed its concerns that:
a) no remarkable progress in dealing with the claim can be observed
b) no rectifications have been completed so far, not to mention accepted by Praha Sen, least of all by the Condominium,
c) Praha-Sen has not clarified so far its acceptance of defects specified sub 1) in the List of defects I (referred to as Garage 19, Garage 40; as to Garage 9)
d) communication from the side of Praha Sen is not sufficient –it does not often answer the Condominium’s mails etc, Praha sen declares that all condominium letters are being answered except the last letter by Ms. Handzelova which is being looking in to.
e) it has no information about the outcomes of negotiations of Praha Sen with its subcontractors regarding the rectification of the accepted defects, namely the expected time table of the rectification, not to mention the detailed time-table of the operations planned,
f) the existing defect cause subsequent damages on the property (roofs, elevators, electronics of the cameras etc.), Praha sen declares that they are dealing with all defects as submitted by the condominium.
g) where some work is being done, intolerable mess is left behind, which, the cleaning company is refusing to clean sometime for weeks already. Praha sen declares that the big dirt and left over materials are being removed daily. Once all defect per area will be removed and before the handing over to the Condominium a substantial cleaning will be done.
2) Condominium emphasized that it cannot prolong its assistance on the spot as it has become beyond its capacity and competence; it suggested the names of experts that could assist Praha Sen instead. Praha sen kindly appreciate the condominium offer but stating that they have their own experts and are managing all problems.
3) Praha Sen:
a) explained complexity of the problems to be solved,
b) Praha sen declares that they are in the process of dealing with a lots of the defects such as: MEP repairs by Dalkia, fixing all public areas on Buildings A H H1 J J1, fixing external pavement, completing all missing works in buildings C D etc. All the rest of defect are in the procedure of study and/or subcontractors quotations and/or negotiations.
c) introduced Mr. Kuba as the new person in Savant responsible for claims concerning common parts at Korunni dvur and Mrs. Pasekova to take over the agenda of Eran Liron who is leaving the company,
d) expressed its believe that for now it can manage without the legal expert Bukovský suggested by the Condominium for the top expertise on solution on major problems.
B) Praha Sen: will prepare a list stating the status of all rectifying works
· Has sufficient organizational and financial capacity for the necessary rectifications within reasonable time span,
· etc.
C) Specifications of the List I
1) List I has been corroborated in more detail into List II (see Annex I) and also in the form of the Minutes regarding greenery (see Annex II). Both have been summarized and agreed upon between Condominium (Mrs. Handzelová) and Mr. Goldberg and Lerner, respectively.
2) Praha Sen accepts the claims in the documents sub 1) and will inform Condominium in due time about contracts with Dalkia and other contractors dealing with the problems.
D) List of defects III
Condominium will Annex a new list of defects (“List III”) - seeAnnex III to this agenda. Praha sen will review it.
E) Parking places for visitors
1) Condominium’s repeated its previous position (see Annex IV-A andIV-B).
2) Praha Sen:
a) insists on its position to the parking places at Sobotecka, meeting between lawyers (Praha Sen – Condominium) will be arranged after Praha Sen will get contact details of the legal representative of Condominium. Legal status of surface parking places in Sobotecka will be clarified.
b) will consider new offer as concerns the “family” place in the garages,
c) will consider a reasonable discount on the price of the places offer to the Condominium
F) Finances
Most of the problems seem to have been resolved.
G) Documents to hand over
Unresolved remains the transfer of documents from Praha Sen as the entrusted owner to the Committee as its legal successor. PPM together with Dalkia is working on a final list of missing documentation as well as on the replenishment of the documents. It is understood that the documents are essential for the Condominium and should be handed over as soon as possible (it should have happened already by January 25th according to the previous Minutes of the Meeting).
H) Legal steps
To the direct question of Praha Sen whether the Condominium prepares a lawsuit against the investor, the Condominium responded that, should there be no other way it would definitely take all necessary legal steps for which it is organizing appropriate legal assistance. The Condominium also expressed its conviction that it is in the interest of none of the two parties to let the problems proceed that far.
